Need Help in Encoding 6 channels Video files (mp4/h264/nero)

recently i download a anime video file (24mn 41s) of size 500+ with 6 channels..so i try to re-encode this file with following settings..
h.264, 2-pass with 380kbps ,Nero encoder with 64kbps...
the encoding process done perfectly(89MB) but when i play the file audio of that file is changed it sounds like someone talk in a tunnel or in a pipe..
so please please help me how to perfectly re-encode 6 channels (5.1 channels Video file)Video file.
