Video Compression (To 33% of original size) xvid to avc

since the avc codec is more efficient than xvid, I would like to compress my videos down to 33% of their original size.
a 350 meg video down to a 120 meg video.
and keep the video quality the same.

what settings should I use?

To get a response, please indicate the build you are using and details about the source file.
As an indication of the sort of info required check out the Encoding Guide, listed in the Tips & Guides section (link below).

By the way, the settings in this guide for MP4 result in AVC video. There is no direct indication of 'AVC' on the video tab.

Do you mean the H264 (format) codec=avc?

Yes, the settings for the MP4 in the Encoding Guide use the x264 encoder to give the H264 format, which is seen by MediaInfo as AVC.

I had a program that did this before but lost it and can not remember what it was.
since I just built a new 64 bit system, I have to replace most of my old software.

MediaCoder2011-x64-R4-5142

source file are 350mg AVIs TVcaps
I download from the internet.

Video: XVID 624x352 23.98fps 1016Kbps [Video 0]
Audio: MPEG Audio Layer 3 48000Hz stereo 128Kbps [Audio 1]

desired outcome: xvid > x264 Mp4 (at 1/3 original size)
but at the same quality or close to the same quality.

Read the Encoding Guide under Tips & Guides (link below) and one or two.
Then, fiddle a few parameters as suggested there until you get what you want.
Quality is subjective have a go and decide for yourself.
